OPERATOR AGREEMENT

1. Independent Contractor Status

You are an independent operator and independent contractor. You are not an employee, agent, representative, or partner of PSCG Network or General Acquisitions LLC. No employment relationship, joint venture, or partnership is created by this Agreement or your participation in the DEX.

You are solely responsible for your own taxes, expenses, licenses, and compliance with applicable laws in your jurisdiction.

2. No Guaranteed Income

Participation in the DEX does not guarantee income of any kind. Submissions are subject to review, approval, and market demand. PSCG Network makes no representations regarding the volume of purchases, payout amounts, or frequency of offers.

3. Data Accuracy and Integrity

• You agree to submit only accurate, real-time data representing parts you have personally located and verified.
• Photographs must be genuine and unaltered, taken at the time of submission.
• Fabricated, duplicated, or misrepresented submissions are grounds for immediate termination and forfeiture of all pending payouts.
• You may not submit parts you do not have direct access to or cannot fulfill.

4. Payment Terms

• Payment is issued only after a part has been received by PSCG Network or its designated buyer and verified against the submission.
• Incorrect, damaged, mismatched, or non-conforming items may be rejected without payment.
• Payout amounts are determined solely by PSCG Network based on the accepted offer at the time of approval.
• Partial payouts may be issued at PSCG's discretion in cases of partial fulfillment.

5. Sourcing Costs

All costs associated with sourcing, transporting, or delivering parts are your sole responsibility. PSCG Network does not reimburse yard purchase prices, transportation, packaging, or any other operator expenses unless explicitly agreed in writing prior to the submission.

6. Pricing and Offers

PSCG Network controls all pricing, offer amounts, and payout structures. You have no right to negotiate, counter-offer, or demand a specific price. Offers are made at PSCG's sole discretion and may be withdrawn at any time prior to acceptance.

7. Data Ownership

By submitting data through the Platform — including part photographs, descriptions, location data, vehicle information, condition assessments, and any other metadata — you irrevocably assign and grant to PSCG Network a perpetual, worldwide, royalty-free license to use, reproduce, modify, distribute, and commercially exploit all submitted data in any manner.

This includes use in pricing models, supply analytics, machine learning systems, commercial databases, and any future products or services developed by PSCG Network.

8. Removal and Termination

PSCG Network may remove you from the DEX at any time, for any reason, including but not limited to:

• Fraudulent or inaccurate submissions
• Failure to fulfill accepted offers
• Violation of any term in this Agreement or the Terms of Service
• Conduct detrimental to the Platform, its operators, or its buyers
• Inactivity at PSCG's discretion

Termination for cause results in forfeiture of all pending payouts.

9. Limitation of Liability

PSCG Network is not liable for:

• Operator sourcing or transportation costs
• Failed or rejected submissions
• Changes in market pricing or demand
• Platform downtime or technical issues affecting submission processing
• Any indirect, incidental, or consequential damages arising from participation

10. Modifications

PSCG Network reserves the right to modify this Agreement, DEX rules, pricing structures, payout formulas, and participation requirements at any time. Continued participation in the DEX after modifications constitutes acceptance of the updated terms.

11. Governing Law

This Agreement is governed by the laws of the State of Texas. Disputes shall be resolved in the courts of the State of Texas.
